1. The Nature of the Platform
BuildCrex Nigeria Limited operates strictly as a two-sided technology platform and workflow digitization engine. BuildCrex is not a construction contractor, real estate developer, architectural firm, engineering consultant, or licensed deposit-taking bank. The platform provides software interfaces, AI-driven pricing indices, biometric verification arrays, and milestone escrow infrastructure to manage connections between independent property builders (including diaspora investors) and independent service providers or material suppliers. BuildCrex does not execute physical construction labor or sell physical goods.
2. User Classifications & Obligations
- Clients: Individuals or entities (local or international diaspora) commissioning construction milestones or purchasing raw building materials via the platform.
- Service Providers / Sellers: Independent contractors, artisans (masons, tilers, electricians, plumbers), and commercial suppliers listing services or materials.
All users must submit complete, accurate Know-Your-Customer (KYC) documentation, including government-issued identification, corporate registration filings (where applicable), and verify their operational routing.
3. Non-Circumvention Manifesto
To protect the integrity of the BuildCrex transaction engine and proprietary matching systems, users are strictly prohibited from bypassing the platform. Any attempt to negotiate, communicate, allocate capital, or settle fees offline for a business connection initiated via buildcrex.com is a material breach of contract.
Violation of this provision will result in immediate termination of account access and permanent forfeiture of active verification metrics. Furthermore, the violating user agrees to pay BuildCrex a sum equivalent to 10% of the estimated gross project value or NGN 500,000 (whichever is greater). Both parties expressly agree that this sum does not constitute a penalty, but rather represents a reasonable and genuine pre-estimate of liquidated damages incurred by BuildCrex, including lost administrative revenue, compromised matching algorithms, and breach of operational trust.
4. Intellectual Property & Retention
All proprietary algorithms, matching frameworks, interface designs, video assets, database architectures, and the digital tracking data labeled as the Project DNA Ledger remain the exclusive property of BuildCrex Nigeria Limited. Users are granted a limited, revocable, non-transferable license to access the interface solely for managing verified construction workflows.
5. Limitation of Liability & Expanded Indemnification
BuildCrex implements biometric vetting, marketplace price data cross-referencing, and field validation audits. However, physical construction carries inherent logistical and environmental risks. BuildCrex explicitly disclaims all vicarious liability for physical property damage, structural collapse, material defects, personal injury, regulatory building penalties, or project delivery delays caused by independent contractors.
Both Clients and Service Providers contractually agree to indemnify, defend, and hold harmless BuildCrex Nigeria Limited, its board of directors, affiliates, and field agents from and against any and all claims, liabilities, losses, damages, costs, expenses, regulatory penalties, and reasonable legal fees arising out of or related to: breach of these Terms, misuse of the Platform, fraudulent activities, intellectual property infringement, violation of any third-party rights, breaches of confidentiality, and non-compliance with applicable laws.
6. Prohibited Conduct
Users are strictly prohibited from engaging in any unacceptable use of the platform. This includes, but is not limited to:
- Impersonation of any person or entity.
- The creation of fraudulent or duplicate accounts.
- Submission of false or misleading information.
- Posting of fake reviews.
- Intellectual property infringement.
- Engaging in any unlawful activities.
- Introduction of malicious software (including malware and viruses).
- Any unauthorized access to BuildCrex systems and data.
7. Confidentiality
Users agree to maintain the strict confidentiality of all commercial, technical, and proprietary information obtained through the Platform, including but not limited to project bids, pricing data, architectural blueprints, and match-making algorithms. Such information shall not be disclosed, reproduced, or distributed to any third party without explicit written consent from BuildCrex or the respective data owner.
8. Suspension and Termination
BuildCrex reserves the unilateral right to immediately suspend or permanently terminate any user account, without prior notice or liability, in the event of a breach of these Terms, suspected fraudulent activity, KYC validation failures, unlawful conduct, or any misuse of the Platform that threatens the integrity of the ecosystem.
9. Force Majeure
BuildCrex shall not be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond its reasonable control. Such Force Majeure events include, but are not limited to, natural disasters, flooding, fire, pandemics, labour disputes, civil unrest, terrorism, governmental or regulatory actions, telecommunications failures, and severe power outages.
10. Amendment of Terms
BuildCrex reserves the administrative right to amend, modify, or update these Terms of Service at any time. Users will be notified of any material changes via email or a prominent notification upon logging into the platform. Continued use of the platform following the specified effective date of such amendments constitutes explicit acceptance of the revised Terms.
11. Waiver
Any delay, omission, or failure by BuildCrex to exercise any right, power, or remedy provided under these Terms or by applicable law shall not constitute a waiver of that or any other right, power, or remedy, nor shall it preclude or restrict any future exercise of that or any other right.
12. Governing Law & Resolution Venue
These Terms of Service are governed by and construed strictly in accordance with the laws of the Federal Republic of Nigeria. Any litigation, arbitration, or formal legal action arising out of platform transactions must be instituted exclusively within the High Court of Lagos State, Lagos.
